Terms of Service
These terms apply to your use of Ezetu, a service provided by Ezetu Limited. By creating a workspace or using the Service, you agree to them. If you have any questions, contact us at support@ezetu.co.uk.
1. Definitions
In these terms:
- “We”, “us”, “our” means Ezetu Limited, a company registered in England and Wales (company number 13588450), whose registered office is Flat 72 Crown Court, Crown Street, Portsmouth, England, PO1 1QW.
- “Service” means Ezetu: the website at ezetu.co.uk, the web dashboard, and any related features, emails and documents we provide.
- “Subscriber”, “you” means the business that creates a Ezetu workspace, and the person who accepts these terms on its behalf.
- “Workspace” means your business’s account on the Service and everything stored in it.
- “Invited User” means anyone you invite into your Workspace — for example cleaners, managers or a reports viewer such as your accountant.
- “Your Data” means all information you or your Invited Users put into the Service, including details of your clients, staff, jobs, properties, invoices, photos and documents.
- “Fees” means the subscription charges for the Service shown on our pricing page or otherwise agreed with you.
2. Use of the Service
We grant you a non-exclusive, non-transferable right to use the Service, and to let your Invited Users use it, for the internal purposes of your business while your subscription is active.
You decide who is invited into your Workspace and which role each person has. You are responsible for what your Invited Users do in the Service and for removing their access when they leave your business.
The Service is designed for businesses. By accepting these terms you confirm you are acting for a business and not as a consumer.
3. Free trial, fees and payment
New Workspaces start with a 14-day free trial with all features unlocked. No payment details are needed for the trial. When it ends, you can subscribe to continue, or simply stop using the Service.
After the trial, the Service is charged per Workspace (currently £20 per month) as shown on our pricing page. Invited Users do not pay anything. Fees are payable monthly in advance and are non-refundable except where these terms or the law say otherwise.
We may change the Fees by giving you at least 30 days’ notice by email. The new Fees apply from your next billing period after the notice ends. If you don’t agree, you can cancel before then.
If a payment is overdue, we may suspend access to your Workspace after giving you notice, until the amount is paid.
4. Your obligations
You must:
- give accurate details when you sign up and keep them up to date;
- keep passwords and login links confidential, and tell us promptly at support@ezetu.co.uk if you think your account has been accessed without permission;
- have the right to upload Your Data, and comply with data protection law (including the UK GDPR and the Data Protection Act 2018) for the personal data of your clients and staff that you store in the Service;
- comply with employment, tax and payroll law. Payslips, pay calculations, invoices and reports produced by the Service are tools to help you — you remain responsible for checking them and for your legal and tax filings.
You must not:
- use the Service for anything unlawful, fraudulent, harassing or defamatory;
- try to access another business’s Workspace or data, or get around the security or role restrictions of the Service;
- upload malware, or interfere with or put unreasonable load on the Service;
- copy, resell or reverse-engineer the Service, or use it to build a competing product.
5. Emails and messages to your clients
The Service lets you send emails to your clients and staff (such as invoices, quotes, contracts and invites) and to open WhatsApp or other messaging apps with a pre-filled message. When you do, you are the sender and you are responsible for the content.
You must comply with the Privacy and Electronic Communications Regulations 2003 (PECR). In particular, you must only send marketing messages to people who have agreed to receive them (or where another lawful basis applies), always identify your business, and give people a simple way to opt out.
Messages must not be false, misleading, or impersonate another person or business. We may suspend sending from a Workspace that is used for spam or abuse.
6. Indemnity
You will compensate us for any losses, damages and reasonable costs (including legal fees) we incur as a result of a third-party claim arising from Your Data, from messages you send through the Service, or from your or your Invited Users’ breach of these terms.
7. Confidentiality and privacy
Each of us will keep the other’s confidential information confidential, and only use it to perform or receive the Service. This does not apply to information that is public, already known to the recipient, or that must be disclosed by law.
Our Privacy Policy explains how we handle personal data. For personal data within Your Data, you are the controller and we act as your processor; the data processing terms in section 11 of our Privacy Policy form part of these terms.
8. Intellectual property
We (and our licensors) own all rights in the Service, including its software, design, and the Ezetu name and branding. Nothing in these terms transfers those rights to you.
You own Your Data. You give us a licence to host, copy, process and display Your Data only as needed to provide, secure and support the Service for you. If you send us feedback or suggestions, we may use them freely.
9. Warranties and acknowledgements
We will provide the Service with reasonable care and skill. Our uptime commitment is set out in our Service Level Agreement.
Apart from that, the Service is provided “as is”. To the extent the law allows, we do not promise that it will be error-free, uninterrupted, or suitable for every purpose, and all other warranties and conditions are excluded.
You confirm that you are authorised to accept these terms for your business.
10. Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.
Subject to that, we are not liable for any loss of profit, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss, however it arises.
Our total liability to you under or in connection with these terms in any 12-month period is limited to the Fees you paid us in that period.
You are responsible for keeping your own copies of important records. The Service lets you export reports and download documents for this purpose.
11. Cancellation and termination
There is no minimum term. You can cancel at any time by emailing support@ezetu.co.uk. Your subscription will then end at the close of the current billing period and will not renew.
We may end the Service for you by giving 30 days’ notice. We may suspend or end it immediately if you seriously or repeatedly breach these terms, fail to pay Fees after notice, or use the Service in a way that puts other customers or the Service at risk.
When the Service ends, your right to use it stops and any Fees already due remain payable. You can export Your Data before your subscription ends; for 30 days afterwards you can ask us for a copy. After that, we will delete Your Data, except for any information we must keep by law.
12. Third-party services
Some features open or rely on services run by other companies, such as Google Maps for directions and WhatsApp for messages. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.
13. Support and changes to the Service
Help is available by email at support@ezetu.co.uk. We aim to keep the Service available around the clock but may need to carry out maintenance, which we try to schedule outside UK business hours.
We are continually improving the Service and may add, change or remove features. If we remove a feature that is central to how you use the Service, we will tell you in advance where we reasonably can.
14. General
Changes to these terms. We may update these terms from time to time. We will tell you about significant changes by email or in the Service at least 30 days before they take effect. Continuing to use the Service after that means you accept the updated terms.
Entire agreement. These terms, together with the Privacy Policy and Service Level Agreement, are the whole agreement between us about the Service.
Assignment. You may not transfer your rights under these terms without our written consent. We may transfer ours to a business that takes over the Service.
Notices. We will send notices to the email address on your account. Send notices to us at support@ezetu.co.uk.
Severability and waiver. If any part of these terms is found unenforceable, the rest stays in effect. A delay in enforcing these terms is not a waiver of our rights.
Events outside our control. We are not responsible for delays or failures caused by events beyond our reasonable control.
Law and courts. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
